Welcome to Pass Check. These Terms of Use ("Terms") govern your use of the Pass Check app ("Pass Check", "the App", "we", "us", "our") provided by Bodanius, LLC ("we" or "the Company"), a limited liability company organized under the laws of the State of Delaware, USA, with a principal place of business at 8 The Green, STE A, Dover Delaware 19901, United States.
By installing, accessing, or using Pass Check, you ("you", "the Merchant") agree to be bound by these Terms. If you do not agree, do not install or use the App.
1. The Service
Pass Check is a Shopify application that provides age verification popups and terms-and-conditions checkboxes for Shopify stores. The App is installed through the Shopify App Store and operates within your Shopify store environment.
We may update, modify, add to, or remove features of the App at any time. We will make reasonable efforts to notify you of significant changes in advance.
2. Eligibility
To use Pass Check, you must:
- Have an active Shopify store
- Be authorized to install applications on that store
- Be at least 18 years old or the legal age of majority in your jurisdiction
- Comply with all applicable laws and Shopify's Acceptable Use Policy
3. Subscription, billing, and cancellation
Pass Check is offered on a free plan and one or more paid plans. Plan details, including pricing and usage limits, are displayed in the App and on our website.
Billing. All paid plans are billed through the Shopify Billing API. Charges appear on your regular Shopify invoice. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan).
Free plan limits. The free plan includes a fixed monthly verification limit. Exceeding this limit may result in reduced functionality until you upgrade to a paid plan or until the next billing cycle resets your usage.
Cancellation. You may cancel your subscription at any time by uninstalling the App from your Shopify admin. Cancellation takes effect immediately. Shopify's standard refund policy applies — we do not issue refunds directly.
Price changes. We may change pricing for our paid plans. We will provide at least 30 days' notice of any price increase to existing paid subscribers, and the new price will take effect at the start of your next billing cycle after the notice period.
4. Your responsibilities
You are responsible for:
- Legal compliance. Pass Check provides tools for age verification and terms display, but determining what your legal obligations are and whether the App, as configured, satisfies them is your responsibility. Consult a lawyer if you are unsure.
- Configuration. Setting up the App correctly for your products, jurisdictions, and customer base.
- Content. Any text, images, logos, terms-and-conditions content, or other materials you upload to or display through the App. You confirm that you have the rights to use this content.
- Customer interactions. Honoring your published terms and conditions, and handling any disputes that arise from customer interactions with the App.
5. Acceptable use
You may not:
- Use the App to verify ages or capture consent in a way that violates applicable law
- Attempt to bypass, disable, or interfere with the App's functionality
- Reverse-engineer, decompile, or extract the App's source code
- Resell, sublicense, or redistribute the App or its functionality
- Use the App to facilitate sales that you are not legally permitted to make in your jurisdiction
- Use the App for fraudulent, deceptive, or harmful purposes
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Intellectual property
The App, including all its code, designs, branding, and documentation, is the property of Bodanius, LLC and is protected by United States copyright law and other applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the App in connection with your Shopify store for the duration of your subscription.
The Pass Check name, logo, and visual identity are trademarks of Bodanius, LLC. You may not use them without our written permission, except to identify that your store uses the App.
7. Data and privacy
The App processes limited data from your Shopify store as needed to provide its functionality. Our handling of this data is described in our Privacy Policy, which is incorporated into these Terms by reference.
You remain the controller of your customers' personal data. We act as a processor on your behalf. A data processing agreement is available on request for merchants subject to the GDPR, UK GDPR, CCPA, or similar regulations.
8. Disclaimers
The App is provided "as is" and "as available," without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The App will be uninterrupted, error-free, or completely secure
- The App will be compatible with every Shopify theme, third-party app, or store configuration
- The App's age verification or terms-capture features will be deemed legally sufficient in any specific jurisdiction or context
Legal compliance disclaimer. Pass Check is a software tool, not legal advice. Compliance with age-restriction laws, consumer protection regulations, terms enforcement, and similar legal requirements is your responsibility. We strongly recommend consulting a qualified attorney in your jurisdiction.
9. Limitation of liability
To the maximum extent permitted by applicable law:
- Our total cumulative liability to you arising from or related to the App, whether in contract, tort (including negligence), or otherwise, is limited to the greater of (a) the amount you have paid us for the App in the twelve months preceding the event giving rise to the claim, or (b) USD $100.
- In no event shall we be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages.
- We are not liable for damages arising from your use of the App in violation of applicable law, or from misconfiguration of the App.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Bodanius, LLC, its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any content you upload to or display through the App.
11. Termination
You may stop using the App at any time by uninstalling it from your Shopify admin.
We may suspend or terminate your access to the App if you violate these Terms, fail to pay applicable fees, or use the App in a way that causes harm to us, other merchants, or end customers. Where reasonable, we will provide notice and an opportunity to remedy the issue before termination.
Upon termination, sections of these Terms that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will continue to apply.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email to the address associated with your Shopify account and posted in the App at least 14 days before they take effect. Continued use of the App after changes take effect constitutes acceptance of the updated Terms.
13. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising from or related to these Terms or the App will first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, the parties agree to submit the dispute to the exclusive jurisdiction of the state or federal courts located in Delaware, USA, and waive any objection to venue in those courts.
If you are a consumer protected by the mandatory consumer-protection laws of your country of residence, this clause does not override your rights under those laws.
14. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.
Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
